What you need to know about incorporating a UK company:

  • There are no restrictions of foreign ownership of business in the UK. There is also no exchange control, so you can freely invest or extract your capital from the UK.
  • The most popular type of UK company is a private company limited by shares. This company has a share capital and the liability of each member is limited to the amount, if any, unpaid on their shares. A foreign parent company does not incur liabilities under its UK subsidiary’s debts.
  • There are no types of company similar to Ukrainian limited liability company and joint stock company.
  • Each company must have a registered office in England and Wales, a physical location where notices can be delivered to the company. This does not have to be the place where the company’s business is carried out.
  • There is no minimum share capital requirement for a private company. The company may have only one shareholder.
  • A private company must have at least one natural director (not necessarily a UK national), though it is usual to have two directors. There is no requirement to have a secretary.
  • The company’s director is subject to general directors’ duties (to act in accordance with the company’s constitution, to exercise reasonable care, skill, diligence and independent judgement, to avoid conflicts of interest etc.) If the company is likely to become insolvent, the director should act in the best interests of the company’s creditors.
  • You do not need to come to the UK for company registration purposes.
